The CareerVillage site is part of the CareerVillage.org Network. These Terms and Conditions ("Terms") cover use of the sites on this network.
The CareerVillage.org Network (the "Network") is a set of internet sites and applications for sharing knowledge, operated by CareerVillage, Inc. ("CareerVillage", "us", "we", or "our"), a United States 501c3 nonprofit organization. Please read these terms and conditions ("Agreement", "Terms", "Terms and Conditions") carefully before using the Network or any services provided on the Network (collectively, “Services”). Your access to and use of the Service is conditioned on your acceptance of and compliance with this Agreement. You may use the Service only if you can form a binding contract with CareerVillage, and only in compliance with this Agreement and all applicable local, state, national, and international laws, rules and regulations. This Agreement applies to all visitors, users and others who access or use the Services. By accessing or using the Services you agree to be bound by this Agreement. If you disagree with any part of the Agreement then you may not access the Services.
CareerVillage may provide the Services that are selected by you, subject to the terms and conditions of this Agreement, solely for your own use, and not for the use or benefit of any third party. If you are using the Services on behalf of an organization or entity (“Organization”), then you are agreeing to these Terms on behalf of that Organization and you represent and warrant that you have the authority to bind the Organization to these Terms. In that case, “you”, “your”, and “User” refers to you and that Organization. Services shall include, but not be limited to, any services CareerVillage performs for you, as well as the offering of any Content on the Network.
CareerVillage will use reasonable efforts to ensure that the Network and Services are available twenty-four hours a day, seven days a week. However, there will be occasions when the Network and/or Services will be interrupted for maintenance, upgrades and repairs or due to failure of telecommunications links and equipment. Every reasonable step will be taken by CareerVillage to minimize such disruption where it is within CareerVillage’s reasonable control. You agree that neither CareerVillage nor the Network will be liable in any event to you or any other party for any suspension, modification, discontinuance or lack of availability of the Network, the service, any User Content, or other Content. CareerVillage retains the right to create limits on use and storage in its sole discretion at any time with or without notice. You shall be responsible for obtaining and maintaining any equipment or ancillary services needed to connect to, access the Network or otherwise use the Services, including, without limitation, modems, hardware, software, and long distance or local telephone service. You shall be responsible for ensuring that such equipment or ancillary services are compatible with the Services.
As a condition to using Services, you may be required to register, select a password, and complete a profile. You shall provide CareerVillage with accurate, complete, and updated registration information, including your real name and e-mail address, when you create your account on the Network. Failure to do so shall constitute a breach of this Agreement, which may result in immediate termination of your account. You may not (a) select or use as a name a name of another person with the intent to impersonate that person; or (b) use as a name a name subject to any rights of a person other than you without appropriate authorization. CareerVillage reserves the right to refuse registration of, or cancel a user’s registration in its discretion.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. We encourage you to use "strong" passwords (that use a combination of upper and lower case letters, numbers and symbols) with your account. CareerVillage will not be liable for any loss or damage arising from your failure to comply with this instruction.
Students
In registering on the Network as a Student (also referred to on the Network as a “Learner”, “Scholar”, or “Mentee”), you represent that you are an individual (i.e., not a corporate entity) at least 13 years of age. No one under the age of 13 may provide any personal information to or on the Network (including, for example, a name, address, telephone number or email address).
Professionals
In registering on the Network as a Professional (also referred to on the Network as a “Mentor”, “Volunteer”, or “Advisor”), you represent that you are an individual at least 18 years of age.
Educators
CareerVillage may make available certain features and tools that permit certain Users (such as, for example, representatives of school districts, schools, teachers, youth programs, and other educators) to work with students and other Users through the Services in order to provide such students and other Users with educational services, and to review and evaluate learning achievements and progress of such students and other Users (each an “Educator”, “Teacher”, “Counselor”, “Educational Administrator”, or “Program Partner”). If you are an Educator, you must use CareerVillage’s Educator registration process when registering accounts on the Network. If you are an Educator you may not register accounts for other Users. In registering on the Network as an Educator you represent that you are an individual at least 18 years of age.
We may terminate, suspend, or limit the Services at any time, including the availability of a feature, database, or Content, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Either party may terminate the Services at any time by notifying the other party by any means. Upon termination of your account, your right to use the Services, access the Network, and any Content will immediately cease. Termination of your access to and use of the Network and the Services shall not relieve you of any obligations arising or accruing prior to such termination or limit any liability which you otherwise may have to CareerVillage or the Network, including without limitation any indemnification obligations contained herein.
User Content
"User Content" means any information, text, graphics, or other materials uploaded, downloaded or appearing on the Services. You retain ownership of all User Content you submit, post, display, or otherwise make available on the Services.
You agree that all User Content that you contribute to the Network is perpetually and irrevocably licensed to CareerVillage under the Creative Commons Attribution Share Alike 4.0 license (https://creativecommons.org/licenses/by-sa/4.0/). You grant CareerVillage the perpetual and irrevocable right and license to use, copy, cache, publish, display, distribute, modify, create derivative works and store such User Content and to allow others to do so in any medium now known or hereinafter developed (“Content License”) in order to provide the Services, even if such User Content has been contributed and subsequently removed by you. We may modify or adapt your User Content in order to transmit, display or distribute it over computer networks and in various media and/or make changes to your User Content as are necessary to conform and adapt that User Content to any requirements or limitations of any networks, devices, services or media.
You warrant, represent and agree you have the right to grant CareerVillage and the Network the rights set forth above. You also represent, warrant and agree that you will not contribute any User Content that (a) infringes, violates or otherwise interferes with any copyright or trademark of another party, (b) reveals any trade secret, unless that trade secret belongs to you or you have the owner’s permission to disclose it, (c) infringes any intellectual property right of another or the privacy or publicity rights of another, (d) is libelous, defamatory, abusive, threatening, harassing, hateful, offensive or otherwise violates any law or right of any third party, (e) represents the view of any club, institution, corporation, or other organization, whether you are affiliated with that organization or not, (f) creates an impression that you know is incorrect, misleading, or deceptive, including impersonating others or otherwise misrepresenting your affiliation with a person or entity, (g) contains other peoples’ private or personally identifiable information without their express authorization and permission, (h) contains a virus, trojan horse, worm, time bomb or other computer programming routine or engine that is intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or information, or (i) remains posted after you have been notified that such User Content violates any of sections (a) to (g) of this sentence.
CareerVillage reserves the right to remove any User Content from the Network, re-post to the Network any User Content removed by any User or former User, suspend or terminate User’s right to use the Services at any time, or pursue any other remedy or relief available to CareerVillage and/or the Network under equity or law, for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such User Content or if CareerVillage is concerned that User may have breached the immediately preceding sentence), or for no reason at all.
Subject to these Terms, CareerVillage gives you a worldwide, royalty-free, revocable, non-assignable and non-exclusive license to re-post any of the Content on CareerVillage anywhere on the rest of the web, provided that the user who created the content has not explicitly marked the content as not for reproduction, and provided that you follow the attribution rules of the Creative Commons Attribution Share Alike license as follows:
(a) You will ensure that any such use of User Content visually displays or otherwise indicates the source of the User Content as coming from the CareerVillage Network. This requirement is satisfied with a discreet text blurb, or some other unobtrusive but clear visual indication.
(b) You will ensure that any such Internet use of User Content includes a hyperlink directly to the original question or To Do List or To Do on the source site on the Network (e.g., https://careervillage.org/questions/12345)
(c) You will ensure that any such use of User Content visually display or otherwise clearly indicate the author names for every non-anonymous question and answer so used.
(d) You will ensure that any such Internet use of User Content Hyperlink each non-anonymous author’s name directly back to his or her user profile page on the source site on the Network (e.g., https://careervillage.com/users/12345/nickname), directly to the CareerVillage domain, in standard HTML (i.e. not through a Tinyurl or other such indirect hyperlink, form of obfuscation or redirection), without any “nofollow” command or any other such means of avoiding detection by search engines, and visible even with JavaScript disabled.
(e) You will, upon request either by CareerVillage or a User, remove the user's name from Content which the user has subsequently made anonymous.
(f) You will, upon request either by CareerVillage or by a user who contributed to the Content, make a reasonable effort to update a particular piece of Content to the latest version on CareerVillage.org.
(g) You will, upon request either by CareerVillage or by a user who contributed to the Content, make a reasonable attempt to delete Content that has been deleted or marked as not for reproduction on the Network.
You may only use the attribution required by this Section in the manner set out above. In exercising these rights, you may not implicitly or explicitly assert or imply any connection with, sponsorship or endorsement by CareerVillage, or any Network user of you or your use of the work, without the separate, express prior written permission of CareerVillage or the Network user.
Your Content will be viewable by other users of the Service and through third party services and websites. You should only provide Content that you are comfortable sharing with others under these Terms.
We may not monitor or control the Content posted via the Services. Any use of or reliance on any Content or materials posted via the Services or obtained by you through the Service is at your own risk. We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via the Services or endorse any opinions expressed via the Services. You understand that by using the Services, you may be exposed to Content that might be offensive, harmful, inaccurate or otherwise inappropriate. Under no circumstances will CareerVillage be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content made available via the Services or broadcast elsewhere.
You are responsible for all of your activity in connection with the Services and accessing the Network. Any fraudulent, abusive, or otherwise illegal activity or any use of the Services or Content in violation of this Agreement may be grounds for termination of your right to Services or to access the Network. You may not post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or private information from any Network or Service user. You understand that your Content may be republished and if you do not have the right to submit Content for such use, it may subject you to liability. CareerVillage will not be responsible or liable for any use of your Content by CareerVillage in accordance with these Terms.
We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce the Terms, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of CareerVillage, its users and the public.
Use of the Network or Services to violate the security of any computer network, crack passwords or security encryption codes, transfer or store illegal material including that are deemed threatening or obscene, or engage in any kind of illegal activity is expressly prohibited. Under no circumstances will you use the Network or the Service to (a) send unsolicited e-mails, bulk mail, spam or other materials to users of the Network or any other individual, (b) harass, threaten, stalk or abuse any person or party, including other users of the Network, (c) create a false identity or to impersonate another person, or (d) knowingly post any false, inaccurate or incomplete material.
Network Content
The Network and its contents are intended solely for the use of the Network Users and may only be used in accordance with the terms of this Agreement. All materials displayed or performed on the Network, including, but not limited to text, graphics, logos, tools, photographs, images, illustrations, software or source code, audio and video, and animations (collectively, “Content”) (other than Content posted by User (“User Content”)) are the property of CareerVillage and/or third parties and are protected by United States and international copyright laws.
API
The CareerVillage API shall be used solely pursuant to the terms of the API Terms of Use.
Our Services may contain links to third-party web sites or services that are not owned, supervised, or controlled by CareerVillage. CareerVillage has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that CareerVillage shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services. CareerVillage and the Network disclaim: (a) all responsibility and liability for content on third party websites and (b) any representations or warranties as to the security of any information (including, without limitation, credit card and other personal information) You might be requested to give any third party, and you hereby irrevocably waive any claim against the Network or CareerVillage with respect to such sites and third party content. We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.
The advice provided on this site by Users is provided for informational purposes only, reflects the personal views of Users, and is not necessarily that of any clubs, institutions, employers, corporations, or other organizations whether Users are affiliated with those organizations or not.

CareerVillage may appoint or elect moderators from the community and reserves the right to terminate a Moderator’s privileges for any reason at any time without warning. As a Moderator, you agree to:
(i) abide by this Agreement and all moderator policies made available to you;
(ii) consent to a background check if one is requested of you by CareerVillage;
(iii) use any personally-identifying information about Network users in accordance with the Network Privacy Policy;
(iv) not disclose any personally-identifying information about Network users to anyone;
(v) not store or copy any personally-identifying information about Network users; and
(vi) only use such information in connection with performance as a Network moderator for the benefit of CareerVillage.
You also acknowledge that you are an independent volunteer moderator and are not an employee, agent, or representative of CareerVillage and you have no authority to bind CareerVillage in any manner.
Because both young people and adults use the Services, you may only use the Services in approved ways. The Services are not private messaging channels. You may not use the Services to arrange user-to-user communications on channels outside of the Services. You may not use the Network to arrange to meet other Network users or to communicate with them outside of the Network. You may not offer to provide personal tutoring, training, or other services outside of the normal usage of the Network. CareerVillage reserves the right to suspend or terminate your right to use the Services at any time, inform any other parties we deem appropriate including educators, or pursue any other remedy or relief available to CareerVillage and/or the Network, if you arrange to communicate with another User outside of the Services.
The Network may award points or badges to Users to encourage engagement. These points or badges have no monetary or trade-in value. We reserve the right to award, revoke, cancel, modify, change, stop offering, expire, delete, and/or stop supporting the points or badges systems at any time for any reason or for no reason without notice to you. Basically, the points don’t matter.
All right, title, and interest in and to the Network (excluding User Content) are and will remain proprietary to CareerVillage and/or third parties. The Network is protected by copyright, trademark, and other laws of both the United States and foreign countries.
Except as expressly provided herein, nothing in the Terms gives you a right to use the CareerVillage name or any of the Network trademarks, logos, domain names, and other distinctive brand features.
You must not do any of the following while accessing or using the Service:
(i) use the Services for any unlawful purposes or for promotion of illegal activities;
(ii) upload or post any Content (as defined above) in violation of the provisions contained in this Agreement;
(iii) use the Services for the purpose of spamming anyone;
(iv) access or tamper with non-public areas of the Services, CareerVillage’s computer systems, or the technical delivery systems of CareerVillage’s providers;
(v) probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures;
(vi) access or search or attempt to access or search the Service by any means (automated or otherwise) other than through the currently available, published interfaces that are provided by CareerVillage (and only pursuant to those terms and conditions), unless you have been specifically allowed to do so in a separate agreement with CareerVillage (crawling the Network is permissible in accordance with these Terms, but scraping the Network without the prior consent of CareerVillage except as permitted by these Terms is expressly prohibited);
(vii) forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Services to send altered, deceptive or false source-identifying information; or
(viii) interfere with or disrupt (or attempt to do so) the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Services, or by scripting the creation of Content in such a manner as to interfere with or create an undue burden on the Services.
If you operate a search engine or robot, or you republish a significant fraction of Network Content (as we may determine in our reasonable discretion), you must additionally follow robots.txt at all times.
(i) These Terms shall be governed and construed in accordance with the laws of the State of Massachusetts, without regard to or application of its conflict of law provisions.
(ii) For any claim related to the Terms or the Network, excluding claims for injunctive or other equitable relief, where the total amount sought is less than ten thousand U.S. Dollars ($10,000.00 USD), either CareerVillage or You may elect at any point in or during a dispute or proceeding to resolve the claim through binding non-appearance-based arbitration. A party electing arbitration shall initiate it through an established alternative dispute resolution ("ADR") provider mutually agreed upon by the parties. The ADR provider and the parties must comply with the following rules: (a) the arbitration shall be conducted, at the option of the party seeking relief, by telephone, online, or based solely on written submissions; (b) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties; and (c) any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
(iii) You agree that any cause of action arising our of or related to the Services must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
We may revise these Terms from time to time. The most current version will always be on this page (or such other page as the Services may indicate). If the revision, in our sole discretion, is material we will notify you via posting to our website or e-mail to the email associated with your account. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms.
CareerVillage has no special relationship with or fiduciary duty to you. Your access to and use of the Services or any Content is at your own risk. You understand and agree that the Services are provided to you on an "as is" and "as available" basis. Without limiting the foregoing, CareerVillage and its partners disclaim any warranties, express or implied, of merchantability, fitness for a particular purpose, or non-infringement. Much of the Content of the Network is provided by and is the responsibility of the user or subscriber who posted the Content. CareerVillage does not monitor the Content of the Network and takes no responsibility for such Content. We make no warranty and disclaim all responsibility and liability for the completeness, accuracy, availability, timeliness, security or reliability of the Services or any Content thereon. CareerVillage will not be responsible or liable for any harm to your computer system, loss of data, or other harm that results from your access to or use of the Services, or any Content. You also agree that CareerVillage has no responsibility or liability for the deletion of, or the failure to store or to transmit, any Content and other communications maintained by the Services. We make no warranty that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. No advice or information, whether oral or written, obtained from CareerVillage or through the Services, will create any warranty not expressly made herein.
To the maximum extent permitted by applicable law, you will indemnify and hold CareerVillage and its directors, officers, employees, affiliates, agents, consultants, contractors, partners, vendors, service providers, and licensors harmless, including costs and attorney’s fees, from any claim or demand made by any third party due to or arising out of your access to the Network, use of the Services, the violation of this Agreement by you, or the infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity.
In no event shall CareerVillage, its directors, officers, employees, affiliates, members, agents, consultants, contractors, partners, vendors, service providers, and licensors be liable with respect to the Network or the Services for (a) any indirect, incidental, punitive, or consequential damages of any kind whatsoever; (b) damages for loss of use, profits, data, images, User Content or other intangibles; (c) damages for unauthorized use, non-performance of the Network, errors or omissions; or (d) damages related to downloading or posting Content. CareerVillage’s and the Network's collective liability under this agreement shall be limited to one hundred United States Dollars. CareerVillage shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond CareerVillage’s reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including "line-noise" interference).
The failure of CareerVillage to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect. If any provision of the Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable.
CareerVillage may transfer, assign or delegate the Terms and its rights and obligations without consent.
Both parties agree that the Terms is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of the Terms, and that all modifications must be in a writing signed by both parties, except as otherwise provided herein.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
